Terms of use

About these terms

Last updated: 1 October 2026.

These Terms of Use ("Terms") govern your access to and use of the website at forte-sol.com and any related pages, content, tools, publications and downloads (together, the "Website"), operated by Forte Tech Solutions Pty Ltd ACN 656 181 065 ("FTS", "Forte", "we", "us" or "our"). FTS is a Corporate Authorised Representative of Forte Securities Australia Pty Limited ACN 614 579 734 ("FSA"), holder of Australian Financial Services Licence No. 492490.

By accessing or using the Website you agree to be bound by these Terms, the Important information notice, the Wholesale client notice and the Privacy policy (including its section on cookies), each of which forms part of these Terms. If you do not agree, you must not access or use the Website. If you access the Website on behalf of an entity, you represent that you are authorised to bind that entity, and "you" includes that entity.

Relationship with the Client Terms

These Terms apply only to the Website. They do not govern the provision of any financial product or financial service, the Forte platform, the Forte API, or any transaction with FTS or FSA. Those matters are governed exclusively by the client agreement, terms of business, product terms, API terms and any other documents you enter into with FTS or FSA (the "Client Terms"). If there is any inconsistency between these Terms and the Client Terms, the Client Terms prevail.

Eligibility

The Website is intended only for persons who are "wholesale clients" within the meaning of sections 761G and 761GA of the Corporations Act 2001 (Cth), or who hold an equivalent professional or institutional classification under the laws of their jurisdiction, as described in the Wholesale client notice. By using the Website you represent and warrant that:

(a) you are a wholesale client or equivalent, and you are not a retail client;

(b) you are at least 18 years of age and have full legal capacity to agree to these Terms;

(c) you are not located in, resident in, or organised under the laws of any jurisdiction in which access to the Website or the distribution of its content would be contrary to law or would require FTS or FSA to hold any licence, registration or authorisation, including the jurisdictions described in the Important information notice;

(d) you are not a person, and are not owned or controlled by or acting on behalf of a person, designated or listed under any sanctions law administered by Australia, the United Nations or any other jurisdiction relevant to Forte’s operations; and

(e) you are accessing the Website on your own initiative.

Forte may restrict or block access to the Website from any jurisdiction or by any person at its discretion.

No offer, advice or recommendation

The content of the Website, including information about Forte’s services, prices, assets, flows, timings and illustrative screens (the "Content"), is provided for general information only. It is not, and must not be construed as, an offer, invitation, solicitation or recommendation to acquire, dispose of or deal in any digital asset, stablecoin, financial product or financial service, and does not constitute financial product advice, legal, tax or accounting advice.

Any general advice contained in the Content has been prepared without taking into account your objectives, financial situation or needs. Before acting on any Content you should consider its appropriateness having regard to those matters and obtain independent professional advice. Forte does not provide personal advice through the Website.

Prices, quotes, charts, trade tickets, code samples and platform screens shown on the Website are illustrative only, are not executable, and do not reflect live market prices or the terms on which Forte will deal. A price is firm only when quoted by Forte to an onboarded client under the Client Terms.

Insights and publications

The Weekly brief, announcements and other publications on the Website ("Insights") are prepared by Forte from public and third-party sources believed to be reliable at the time of publication. Forte does not guarantee their accuracy, completeness or timeliness and is under no obligation to update them. Insights reflect conditions and views as at their date and may be superseded without notice.

Insights may contain forward-looking statements, estimates and opinions, which are subject to known and unknown risks and uncertainties. Actual outcomes may differ materially. Past performance is not a reliable indicator of future performance. References to third parties, their products or their regulatory status are not an endorsement, and summaries of laws and regulatory developments are not legal advice. Readers should rely on the primary sources linked.

Intellectual property

The Website and the Content, including all text, graphics, designs, data, software, code, logos and trade marks, are owned by or licensed to FTS or FSA and are protected by the Copyright Act 1968 (Cth), the Trade Marks Act 1995 (Cth) and equivalent laws in other jurisdictions. "Forte", "Forte Tech Solutions", "AUDF", "Forte AUD" and the Forte hexagon mark are trade marks of FTS, FSA or their related bodies corporate.

Subject to these Terms, Forte grants you a limited, revocable, non-exclusive, non-transferable licence to access the Website and to view, download and print Content for your internal business purposes. You may share links to Insights and quote reasonable extracts with clear attribution to Forte. Except as permitted by these Terms or by law, you must not reproduce, modify, distribute, publish, frame, create derivative works from or commercially exploit any Content without Forte’s prior written consent.

Acceptable use

You must use the Website lawfully and in accordance with these Terms. You must not, and must not attempt to or permit any other person to:

(a) use the Website in any way that breaches any applicable law, including the Corporations Act 2001 (Cth), the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth), sanctions laws or the Criminal Code Act 1995 (Cth);

(b) gain or attempt to gain unauthorised access to the Website, the Forte platform or API, or any server, system, network or data connected to them, including by probing, scanning or testing vulnerabilities, other than under a written engagement with Forte;

(c) introduce any virus, malware, worm, trojan or other harmful code, or interfere with or disrupt the operation of the Website, including by denial-of-service attack;

(d) use any robot, spider, scraper or other automated means to access, copy, index or extract Content, other than standard search engine indexing that complies with our robots.txt file;

(e) decompile, reverse engineer or disassemble any software or code on the Website, except to the extent permitted by law;

(f) impersonate any person, misrepresent your affiliation with any person, or provide false information to Forte; or

(g) use the Website or Content to develop a competing product, to train machine learning or artificial intelligence models, or for any purpose that is fraudulent, misleading or harmful to Forte or any other person.

Accounts, credentials and security

Links to log in to the Forte platform are provided for convenience. Access to the platform and API is available only to onboarded clients and is governed by the Client Terms. You are responsible for keeping your credentials, API keys and devices secure and for all activity carried out using them. Forte will never ask you to disclose your password or private keys. You must notify Forte immediately at compliance@forte-sol.com if you suspect unauthorised access or receive a communication that purports to be from Forte but which you believe is not genuine.

Third-party links and content

The Website may contain links to, or content from, third-party websites, services and data sources, including sources cited in Insights and the website of AUDF. Those links are provided for convenience only. Forte does not control, endorse or accept responsibility for any third-party website, content, product or service, or for any loss arising from your use of them. Your use of a third-party website is subject to its own terms and privacy policy.

Availability and changes to the Website

Forte may modify, suspend or discontinue the Website or any part of it at any time without notice. Forte does not warrant that the Website will be available, uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Website or the server that makes it available is free of viruses or other harmful components. You are responsible for implementing appropriate security measures and for maintaining your own backups.

Non-excludable rights

Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by any legislation which cannot lawfully be excluded or limited, including the Australian Consumer Law in Schedule 2 to the Competition and Consumer Act 2010 (Cth) and Part 2, Division 2 of the Australian Securities and Investments Commission Act 2001 (Cth) (each, a "Non-Excludable Right").

To the extent permitted by law, Forte’s liability for breach of a Non-Excludable Right, other than a guarantee that cannot be limited, is limited, at Forte’s option, to supplying the relevant services again or paying the cost of having the services supplied again.

Disclaimer and limitation of liability

Subject to any Non-Excludable Right, the Website and the Content are provided "as is" and "as available", and Forte excludes all representations, warranties and conditions, whether express or implied, including as to accuracy, completeness, reliability, merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law, FTS, FSA, their related bodies corporate and their respective directors, officers, employees, agents and contractors will not be liable to you or any other person, whether in contract, tort (including negligence), under statute or otherwise, for any loss or damage of any kind arising out of or in connection with the Website, the Content, any reliance placed on it, or any inability to access or use it, including any direct, indirect, special or consequential loss, loss of profit, revenue, opportunity, data or goodwill, or trading loss.

Nothing in these Terms limits Forte’s liability for fraud, or for death or personal injury caused by its negligence, or any liability that cannot be limited or excluded by law.

Indemnity

To the extent permitted by law, you indemnify FTS, FSA, their related bodies corporate and their respective directors, officers, employees and agents against any loss, liability, claim, cost or expense (including reasonable legal costs) arising out of or in connection with your breach of these Terms, your misuse of the Website or the Content, any false representation you make, or your breach of any law or the rights of any third party.

Privacy and electronic communications

Forte handles personal information collected through the Website in accordance with its Privacy policy and the Privacy Act 1988 (Cth). You consent to receiving communications from Forte electronically and agree that notices, disclosures and other communications provided electronically satisfy any requirement that they be in writing, to the extent permitted by the Electronic Transactions Act 1999 (Cth).

Suspension and termination

Forte may suspend or terminate your access to the Website, without notice and without liability, if Forte reasonably believes you have breached these Terms, if required by law or a regulator, or to protect the security or integrity of the Website or Forte’s systems. The sections headed Intellectual property, Non-excludable rights, Disclaimer and limitation of liability, Indemnity and Governing law survive any termination.

Changes to these Terms

Forte may amend these Terms from time to time by publishing an updated version on the Website. The updated Terms take effect on publication. Your continued use of the Website after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Website.

General

If any provision of these Terms is held to be invalid, unenforceable or illegal, it will be read down to the extent necessary to make it valid and enforceable, or severed, and the remaining provisions will continue in full force. A failure or delay by Forte in exercising any right is not a waiver of that right. Forte may assign or novate its rights and obligations under these Terms to a related body corporate or a successor to its business. These Terms, together with the documents referred to in them, constitute the entire agreement between you and Forte in relation to the Website.

Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the courts entitled to hear appeals from them, and waive any objection to proceedings in those courts on the grounds of venue or inconvenient forum.
