Wholesale client notice

This notice is issued by Forte Tech Solutions Pty Ltd ACN 656 181 065 ("FTS", "we" or "us"). When providing financial services, FTS provides them only to wholesale clients. It does not deal with retail clients.

Under sections 761G and 761GA of the Corporations Act 2001 (Cth) (the "Act") and the Corporations Regulations 2001 (Cth), you will generally be a wholesale client if, in relation to the relevant product or service:

(a) the price or value of the product is at least A$500,000;

(b) the product or service is for use in connection with a business that is not a small business (a business with 20 or more employees, or 100 or more if it manufactures goods);

(c) you have given us a certificate from a qualified accountant, issued within the last two years, stating that you have net assets of at least A$2.5 million or gross income of at least A$250,000 in each of the last two financial years;

(d) you are a "professional investor" as defined in section 9 of the Act; or

(e) you are a sophisticated investor under section 761GA of the Act.

This is a summary only. We will assess your status during onboarding and may ask for supporting evidence. You must tell us promptly if you stop meeting the criteria.

Retail client protections under the Act do not apply to you. In particular:

(a) you will not receive a Financial Services Guide, Product Disclosure Statement or Statement of Advice;

(b) the design and distribution obligations in Part 7.8A of the Act do not apply; and

(c) you will generally not have access to the Australian Financial Complaints Authority.

If you are outside Australia, you must also be a professional, institutional or equivalent investor under the laws of your home jurisdiction.
